Which Texas credentials govern the operating plan?
Map Texas work to licensed people and local authorities. Keep the buyer's firm on a separate line. Ownership, field credentials and authority to supervise each job require their own proof.
TSBPE lists master, journeyman, tradesman-limited, inspector and registration categories. Check the actual license level and duties. Trucks, customers and a trading name cannot supply any person's missing credential.
The Responsible Master Plumber guidance requires a Texas master in good standing with at least $300,000 commercial liability coverage. An RMP may represent only one company at a time.
Use the qualifying-party definition to name the role. Get proof that the buyer's real plan meets Board requirements.
The market hub connects licenses to buyer research. A Texas address proves neither a commitment nor an earnings multiple.
How does a change of ownership affect RMP continuity?
Track the person, firm, insurance and purchase structure separately. The seller may leave a required role without conveying that license to the buyer. Show who takes over each real duty.
TSBPE's July 2025 company-change and insurance form concerns individual licenses and company records. It covers employer changes, insured names, coverage dates, written municipal notices and local registration review. Use the actual form and facts.
The instructions preserve responsibility for prior work. A departure notice does not erase earlier incidents or complaints. Counsel should align that exposure with job records and the agreed remedies.
| Texas rule or review area | Source-grounded point | Acquisition evidence to obtain |
|---|---|---|
| RMP designation | Texas master, good standing, insurance, and responsible duties | Actual person, status, relationship, and effective coverage |
| Company change | Individual license and company-change instructions | Reviewed filings, names, dates, notices, and prior-work treatment |
| Reciprocity | Conditional Louisiana/Arkansas pathway | Exact eligible credential and complete conditions |
| Workforce coverage | Most private-employer coverage choice and nonsubscriber duties | Actual policy, election, notices, and reporting |
| Residential customer review | Written-contract, payment, and lien cautions | Actual agreements, receipts, disputes, and open commitments |
Check accepted records and effective dates. Preparing a form does not prove Board, insurer or city acceptance.
Use the buyer licensing guide to assign each missing record a reviewer and due date.
What does Texas reciprocity actually establish?
The cited form identifies a conditional Louisiana and Arkansas route. It is not a nationwide license passport. Check the exact credential before assuming the buyer can serve as a master.
The reciprocal verification request lists license, experience, gas-fitting, training, fingerprint and other application conditions. Other applicants use the relevant outside-state exam route. Record which evidence the intended person must supply.
Match the person's license level and history to that route. Journey-level eligibility does not establish approval as the purchasing firm's responsible master. Record any further credential and role requirements.
Reciprocity does not transfer contracts, permits, insurance or local registrations. Those need separate accepted records for the buyer.
Set the work start from issued authority. Keep a lawful staffing fallback if tests or filings remain pending.
Which registrations, bonds, permits, and inspections need local review?
List each city or other authority governing the actual work. The Board's RMP and company-change guidance includes permits, inspections and municipal procedures. Obtain the response for each affected location.
Map open jobs as well as the shop address. Several cities may require different records and actions.
| Local review field | What to record | Closing question |
|---|---|---|
| Contractor or company registration | Authority, current name, responsible person, and status | What changes for the actual acquiring arrangement? |
| Project permits | Permit number, holder, work status, and conditions | Can required work continue under the supported authority? |
| Inspection record | Accepted, outstanding, or failed items | Who completes or resolves each remaining obligation? |
| Project or local bond | Required scope, principal, obligee, and issuer | Does the actual requirement survive or need new evidence? |
| Vehicle representations | Company and license information | What must be updated for the handoff? |
These sources establish no single statewide contractor-bond amount. Check the actual city, project and contract requirements. Record who provides the security and whether the buyer needs a new instrument.
RMP duties include permits, inspections and qualified people, whether workers are employees or subcontractors. Preserve real supervision and coverage through the handoff. A payment label cannot authorize plumbing work.
What customer and home-improvement contract issues matter?
Review signed agreements, receipts, scope changes, disputes and promises still owed. Determine who will perform them after closing. The company sale alone cannot establish every customer's rights or consent.
The Texas Attorney General's home-improvement guidance urges written bids and contracts and warns about payments and liens. It does not cover every cancellation, lien, trust-fund or contract-transfer rule. Obtain a job-specific legal review.
Use that advice to sample the company's actual records. Identify completed work, retained deposits and unresolved complaints. Tie each exception to remaining cost and the party responsible for resolution.
Carry material exceptions into diligence and purchase terms. The consumer page cannot supply a universal deposit cap, cancellation period or transfer remedy. Have counsel assess the actual agreement and facts.
For service work, inspect membership and maintenance terms. For construction, check signed scope, changes, receipts and completion proof. Both can leave duties after the cash has been collected.
How do workers’ compensation and classification affect the handoff?
TDI's employer resources describe coverage choice for most private employers and reports owed by nonsubscribers. Texas therefore needs its own coverage review. Do not import another state's broad insurance rule.
Check the actual policy or election, exceptions, notices and required injury reports. Public projects and contract terms need separate review. Confirm the proposed employer's duties before adopting the seller's approach.
The RMP's $300,000 commercial liability condition is separate from workers' compensation. Compare policy types, named parties and covered periods. One certificate cannot prove that both risks have been addressed.
RMP supervision applies to plumbing work by employees and subcontractors. Reconcile worker credentials with job assignments and supervision. A contractor invoice does not remove any applicable trade-license or on-site requirements.
Worker status needs a further review of real duties and relationships. Give advisers payroll, pay terms, contracts and evidence of control. The tax form alone cannot settle every employment test.
The worker-misclassification definition helps frame that review. Elective compensation insurance does not waive payroll or employment duties. Price recurring costs separately from possible claims arising from the seller's earlier staffing.
Use the skilled-trades labor guide to assess staffing and retention. It supplies no Texas wage promise or replacement deadline. Confirm the responsible person's availability before relying on forecast service capacity.
Which verified Texas buyer profile belongs in research?
Champions Group's official company directory, reviewed October 10, 2026, lists Richardson's LEX Cooling, Heating, Plumbing, Electric and Austin's Service Wizard Heating & Air Conditioning. Keep each brand's stated service scope intact.
Those brands support Texas research. They prove no offer, price, target-size mandate, funding promise or current sponsorship conclusion.
Compare service mix, territory, management and supported margins. Residential multi-trade work can differ from construction or testing. The buyer must explain how its people can operate this particular business.
The private-equity plumbing guide frames platform research. A listed local brand proves operating presence. Current interest still needs a response from someone authorized to assess the actual target.
The M&A market guide separates announcements and prices. This directory discloses no target multiple. Assess supported earnings and actual terms.
How should Texas rules change structure and timeline?
Build milestones from RMP continuity, insurance, city responses and funded duties. A fixed closing period cannot resolve those facts. Adjust financing and seller-release dates when a required item remains open.
- Map the transaction form, acquiring entity, people, and service jurisdictions.
- Verify RMP continuity and the complete insurance and company-change evidence.
- Resolve actual reciprocity or examination pathways without assumed approval.
- Review local registrations, bonds, permits, inspections, and open jobs.
- Reconcile customer obligations, coverage, classification, and prior-work risks.
- Confirm documented buyer fit, financing, structure, and the operating handoff.
Use open items as conditions for counsel and the lender. Revise dates when the evidence changes.
Texas combines an individual responsible role with local work requirements. Price, platform presence and prepared forms cannot authorize the next job. Confirm actual authority, staff and funds before dispatch begins.
