Which employment facts must be established first?
List the employing entities, deal structure, closing date, staff, and planned jobs after closing. Keeping a company brand does not prove that the legal employer or verification approach stays the same.
Use the operations hub to connect this work to staffing. The buyer needs a sound process before workers start under the new terms. A payroll list can identify people. It does not replace the employment-verification records or counsel's review.
A verification handoff register links each private worker record to the chosen approach, form status, approved reviewer, needed action, and proof of completion. It tracks duties. It does not decide immigration status or approve documents from a general deal summary.
What options does the USCIS handbook describe?
The current live USCIS handbook section 8.0 describes two options for employers that acquire or merge with another company. Counsel should assess those instructions with the actual facts and current applicable process.
Option A treats all acquired employees as new hires and calls for a new form for every individual, using the effective transaction date as described. It should not be reduced to choosing selected workers for a new-form process without the proper review.
Option B treats all acquired individuals as continuing in uninterrupted employment and retains the prior owner's forms. The handbook states consequences for errors or omissions and addresses corrections. Choosing that path is not a promise that the buyer receives a risk-free file.
How does the continuing-employment rule add context?
The current section 274a.2 includes continuing-employment rules and conditions. It addresses records and reasonable expectations of employment, among other facts. Counsel should apply the actual relevant text rather than relying only on the sale's title.
The handbook also describes circumstances such as approved leave, temporary layoffs, and transfers within an employer. These facts can matter to the handoff. A worker absent from a particular payroll run is not automatically a new hire or no longer employed.
Record the employment decision and how forms are handled. This guide identifies questions to review. It does not direct a result for a specific worker. A staff roster cannot settle every continuity fact or exception.
What must the prior-form inventory show?
Ask authorized HR to list the forms and needed records. Match them to staff using private codes. Keep located, missing, unresolved, and reviewed status separate. Counting files does not prove they are complete.
Mark duplicate and old copies clearly. The reviewer must know which form is used and whether a correction exists. A scan with an unclear date or missing page should stay open for review.
The technician retention guide helps reconcile the workforce plan. A person expected to stay should appear in the supported handoff process. Staffing intent, actual employment, and verification-file status are separate fields.
How should errors or omissions be handled?
Under the handbook's continuing-employment option, retained errors or omissions have stated consequences for the acquiring employer. Have counsel and authorized HR review the forms and determine the actual correction process. Keep the original and supported correction trail.
Do not silently alter old records to make them appear complete at the original date. A current review should preserve what was found and what action was taken. The handbook refers to its separate correction guidance; counsel should apply the relevant process to the facts.
Keep a missing form separate from an open field or other question. Each may need a different response. An instruction to fix everything does not show who acts, what proof is needed, or when the task is done.
Which exceptions and other processes need review?
The handbook identifies special circumstances, including described pre-November 1986 continuing employees and federal contractors with the relevant FAR E-Verify clause. Do not assume those facts for the plumbing target. Ask counsel whether any actual exception or special process applies.
Keep Form I-9, E-Verify, payroll setup, and trade licensing in separate review tracks. A supported decision in one track does not settle the others. A technician's plumbing license is not a substitute for the applicable employment-verification record.
The safety and fleet guide helps connect approved work access to operational readiness. Verification review should occur through its proper process, while the buyer separately checks supervision, safety, and job authority.
What belongs in the handoff register?
Use a restricted detailed file and a suitable status summary for broader deal review. The buyer should know which tasks remain without circulating sensitive identity documents to everyone. Record who may access the actual evidence.
| Register field | Evidence or decision | Handoff question |
|---|---|---|
| Worker and employer | Controlled employment record | Who is included in the review? |
| Transaction facts | Actual structure and dates | What approach needs counsel review? |
| Workforce approach | Supported USCIS option decision | What process applies to acquired staff? |
| Form status | Authorized inventory and review | What records exist or remain open? |
| Correction | Proper action and evidence | What was found and resolved? |
| Access | Named authorized roles | Who can handle private records? |
| Completion | Dated review and retained trail | What remains before relying on the handoff? |
A complete status needs a review trail. Do not accept every record just because a transfer link opens. Holding a file, being able to read it, and handling it under the rules are separate questions.
How can a record-count example expose a gap?
Assume a labeled illustration with ten workers in the acquired roster and eight matched forms located in the supplied set. Two worker records remain unmatched. These chosen figures are not target facts or a legal finding.
The gap does not establish that two people lack work authorization. It shows a need to reconcile the inventory and obtain the proper review. A duplicate file, different identifier, or missing transfer could require further investigation.
Use the same logic for surplus files. Twelve scans for ten people do not necessarily establish complete records. The team must match actual workers, versions, and required records before relying on the count.
How are sensitive records protected during diligence?
The FTC personal-information guide supports minimizing sensitive data, limiting access, and protecting retained records. It is security guidance, not a determination of the buyer's employment-verification choice.
Set a purpose, authorized recipients, controlled transfer, and retention process. A signed confidentiality agreement does not itself show that every adviser needs every identity document. Counsel and HR should determine the actual review access.
Avoid placing document images, personal numbers, or private worker details in general buyer lists or public pages. A status schedule can link to a restricted evidence owner. If the sale does not close, handle the records under the actual agreed and applicable process.
What needs to happen before day-one access?
Assign the HR owner, counsel contact, record custodian, and completion reviewer. Confirm the supported process and its actual timing before relying on the handoff. A provider email saying files uploaded does not establish that every required task is done.
The pricing and dispatch guide helps separate system permissions from employment records. Giving a technician a dispatch login is not evidence that the chosen verification process has been completed. Track both workflows with their proper owners.
If the closing date or workforce changes, reassess the relevant facts. A counsel decision based on one roster should not become approval of a materially changed roster without review. Preserve versions so the final decision can be explained.
What sequence supports the verification handoff?
- Establish actual entities, transaction facts, workforce, and continuing-employment questions.
- Have counsel assess the USCIS options, rule conditions, and relevant special processes.
- Inventory prior forms through authorized HR and record unresolved evidence.
- Complete supported actions and corrections with controlled access and retained records.
- Reconcile the final workforce and confirm the chosen process's completion evidence.
The result is a documented handoff of employment-verification records and duties. It keeps acquired-workforce choices, private identity data, file gaps, system access, and legal consequences from being reduced to one seller assurance or an unexplained folder count.
