What should definitive-agreement review connect?

Name purchased assets, duties, price mechanics and conditions. Read schedules beside related documents. The main contract may omit dependencies needed to keep work running.

The buying hub frames the process. Use the structure guide for asset/equity questions. Assign final APA questions to counsel and the authorized deal team.

Write parties, entities, versions, review date and reviewers on the working copy. Reference controlled proof so another reviewer can trace the records used.

These are review prompts, not model clauses. Counsel determines legal effect. The sheet cannot create rights beyond the actual agreement and applicable law.

Which fields make an APA review record traceable?

Link terms to proof, disclosure schedules, open decisions and closing effects. Assign the commercial question and required legal finding to named reviewers.

Mark proposed, clarification needed, reviewed for this purpose, approval required or blocked. Keep unverified facts beside the terms that rely on them.

Which eight APA areas should be checked?

  1. Match purchased assets and exclusions.

List equipment, stock, contracts, records and digital assets under the agreed definitions. Check title, leases, personal ownership, liens and transfer rights. Record missing operating assets and required consents. What the seller uses may not be owned, included or transferable. Get accepted proof before treating an item as available to the future firm.

  2. Identify assumed obligations and prior-work questions.

Review deposits, open jobs, memberships, warranties, taxes, staff matters and disputes. Match each with assumed or excluded duties. Counsel must separately assess statutory or successor exposure. Excluding a liability in the contract cannot resolve every legal responsibility. Name who finishes customer work and include its cost in the forecast and opening budget.

  3. Define price and adjustment mechanics.

Check price, cash, debt, working-capital accounts and deposits under actual definitions. Record cutoff, estimates, statement hierarchy, disputes and final-adjustment dates. Test the schedule with example arithmetic. Count each balance once. Another deal's target cannot supply this agreement's treatment, and a headline price cannot settle later payments or the rights to challenge them.

  4. Map representations to evidence and disclosures.

Match financial, worker, contract, license, asset and data statements with actual findings and qualified disclosures. List missing proof and exceptions. A representation is a contract term, not independent verification. Show the entity, location and period covered by each record. Narrow evidence cannot support a broader statement without further work or an explicit qualification.

  5. Separate indemnity, escrow, and remedies.

Check claims, notice, survival, caps, baskets, exclusions, setoff, custody, release and disputes. Ask counsel how the terms interact. Held funds can differ from indemnity rights in amount, timing and access. A familiar label cannot supply unlimited recovery. Record actual recourse and conditions before assuming a claim permits withholding or releases held money.

  6. Confirm consents and operating-authority routes.

Review premises, contracts, providers, the licensed firm, qualifier ties, insurance and local rules. Track signatures separately from third-party or regulator acceptance. Record effective dates and conditions still open. The APA can assign duties without authorizing plumbing work, data use or occupancy. Confirm those rights through the actual issuer and accepted records before relying on transfer.

  7. Review seller restrictive and service terms.

List sale, employment, consulting, qualifying and relationship duties separately. Set scope, dates, pay and replacements. Counsel reviews covenant law; the lender reviews retained-role limits. Willingness to stay cannot prove lawful or adequate role coverage. Check actual supervision and staff availability. Assign unresolved decisions before the forecast depends on the seller's continuing work.

  8. Assign tax and closing deliverables.

Assign allocation, reporting, signatures, consents and closing evidence to the right advisers. Check later price changes and follow-up duties. Carry the final delivery list into closing coordination. APA review cannot complete tax filings, approvals or fund verification. Preserve the agreed scope and proof for each task, including work that continues after the sale closes.

What can public agreement and case examples establish?

The 2020 NextEra draft APA illustrates definitions, schedules, duties, adjustments and closing terms in a proposed utility deal. Use its structure to identify distinct questions.

It is a historical draft, not an executed plumbing deal. Do not import amounts or remedies without reviewing the actual parties, transaction and law.

The December 2024 Reddy opinion discusses negotiated indemnity escrow, release and notice in a medical-services deal. It addresses pleading-stage motions, rather than final liability.

It establishes no standard escrow size, deadline, withholding right or guaranteed recovery. Counsel needs the actual APA and law. Similar labels cannot supply identical outcomes.

How should a worked adjustment test expose definition gaps?

Assume a hypothetical $950,000 base price and $85,000 working-capital target. The estimate is $105,000 under matching definitions. The parties agree to add excess dollar for dollar. These assumptions define the modeled adjustment.

The estimated price is $970,000: $950,000 plus $20,000. Suppose the parties dispute whether a $15,000 customer-deposit duty belongs in the included accounts. Resolve that definition before calling the calculated payment settled.

Do not deduct the deposit twice while keeping it in working capital. State its treatment and reconcile schedules. Separate price accounts from other assigned duties.

The working-capital guide develops the issue. This hypothetical tests definitions, not a standard formula or client's price. Actual terms determine payment.

Which financing and seller-role rules require separate review?

Current SBA policy limits covered seller payments, retained roles, equity sources and acquisition review by category. Record the actual route. The buyer's label alone cannot establish an exception.

Use the SBA acquisition guide for wider rules. Review structure before prohibited earnouts or impermissible seller duties become necessary to operations.

The FTC's February 2026 removal removed Part 910 after vacatur. It cannot decide every sale or employment covenant. Review the actual promise and law.

Counsel reviews parties, scope, duties, jurisdiction and current law. Financing and covenant enforceability differ. A permitted loan structure cannot prove a restriction is enforceable.

What remains separate about tax allocation and trade authority?

The Form 8594 instructions address covered asset allocation and reporting, including relevant later price changes. That process cannot verify title, supply contract consent or resolve all liability. Keep those reviews separate.

California's entity guidance illustrates state-specific routes. Review actual jurisdictions. Do not assume universal transfer or that no entity can qualify through a conditional route.

Use the buyer licensing guide and continuity framework to assign dependencies. Signing cannot replace agency approval or required qualifying coverage before dispatch.

How should the review proceed toward closing?

  1. Read definitions, schedules, related documents, and the proposed transaction scope together.
  2. Match terms to diligence evidence and identify factual exceptions.
  3. Reconcile price examples and obligation treatment with the actual definitions.
  4. Assign counsel, lender, regulator, tax, and specialist questions to reviewers.
  5. Carry final conditions into the closing checklist with evidence and effective dates.

Use the diligence guide for evidence review. Actual approvals and deadlines govern readiness. A generic signing date cannot resolve pending closing conditions.

How should this review sheet be printed?

Print checks with a controlled sheet for term references, proof IDs, reviewer decisions and next dates. Match entries to the final version before relying on them.

Print removes navigation and conversion panels. Keep agreements, personal files and disclosures restricted. Reference proof without repeating sensitive details that these readers do not need.

Which mistakes leave definitive terms unsupported?

Common mistakes include assuming all assets transfer, treating promises as verified facts, counting adjustments twice, equating escrow with recourse and ignoring separate license or seller-role limits. Check the actual terms against each issue.

Leave a traceable record of decisions. Expose gaps affecting funds or work readiness. Name who resolves each one and what proof supports acceptance.
